1. Introduction and Acceptance
Welcome to Insect ID Lens (the "Application"), including its associated website and any related services operated by Insect ID Lens ("we," "us," or "our") (collectively, the "Service"). These Terms of Use ("Terms") constitute a legally binding agreement between you — a user aged 18 or older ("you" or "User") — and Insect ID Lens governing all access to and use of the Service.
By downloading, installing, accessing, browsing, or registering for the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms at any time, you must discontinue use of the Service immediately.
Important disclaimer: Although we make reasonable efforts to provide accurate identification results, we cannot guarantee the completeness or reliability of any information, data, or content made available through the Service. You acknowledge that no content, identification result, or feedback provided by the Service may be used as the basis for any civil, commercial, or real-world decision — including, but not limited to, decisions about consuming, handling, or interacting with any insect or organism. All risks arising from such decisions rest solely with you.
2. Eligibility
Access to and use of the Service is subject to all applicable international, national, and local laws and regulations. You represent and warrant that your use of the Service will comply with all applicable laws and will not violate these Terms. The Service is not available to persons under the age of 18. If you are under 18, please do not access or use the Service.
3. Specific Features and Additional Guidelines
Certain features or areas of the Service may be governed by supplemental guidelines or terms posted from time to time ("Guidelines"). All such Guidelines are incorporated into these Terms by reference. Your use of the Service is also subject to our Privacy Policy (available within the Application), which is incorporated herein by reference. By using the Service, you consent to our collection and use of personal information as described in that policy.
4. Modifications to These Terms
We reserve the right to revise these Terms at any time. While we may post a notice indicating that the Terms have changed, such a notice may not remain prominently displayed for an extended period. We recommend reviewing the Terms periodically. Continued use of the Service following any revision constitutes your acceptance of the updated Terms.
5. License Grant
Subject to your ongoing compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to use the Service for personal, non-commercial purposes only.
6. Intellectual Property
The Service, including all visual elements, software, algorithms, compiled code, graphics, information, and other materials provided by us ("Service Materials"), is owned and operated by Insect ID Lens and is protected by applicable intellectual property laws, including copyright, trademark, and patent law. Service Materials do not include User Content (defined in Section 9). You may not reproduce, modify, distribute, publicly display, reverse engineer, decompile, disassemble, or create derivative works from any Service Materials without our prior written consent.
7. Prohibited Conduct
Your use of the Service must at all times comply with applicable law. The following activities are strictly prohibited:
- Using the Service from territories where its content is unlawful
- Uploading or transmitting viruses, worms, malicious code, or any content that disrupts the Service or harms other users
- Disabling, tampering with, or circumventing any security features or access controls
- Attempting to gain unauthorized access to any part of the Service, other user accounts, or related systems through any means, including password mining or hacking
- Using bots, scrapers, spiders, or other automated tools to access the Service without our express written permission
- Framing or embedding any Service trademarks, logos, or content without prior written consent
- Using meta tags or hidden text incorporating our name or trademarks without authorization
- Sending unsolicited communications, spam, or bulk messaging to other users
- Deep-linking to the Service without prior permission
8. User Content
8.1 Prohibited Content
You may not create, upload, publish, or distribute content ("Content") through the Service that:
(a) violates any applicable law or regulation; (b) endangers national security or divulges protected information; (c) promotes ethnic or racial discrimination or hatred; (d) undermines public order or social stability; (e) contains obscene, pornographic, violent, threatening, or otherwise objectionable material; (f) infringes upon the legal rights or reputation of any person; or (g) contains abusive, harassing, or threatening language.
8.2 License to Your Content
By uploading or submitting any content to the Service ("Your Content"), you grant Insect ID Lens a worldwide, non-exclusive, irrevocable, royalty-free, fully paid-up, perpetual, sublicensable, and transferable license to use, reproduce, distribute, adapt, publish, translate, publicly perform, and publicly display Your Content in any format or medium, for any purpose, including within the Application and any related products or services. We reserve the right to display advertising in connection with Your Content. No further consent from you is required for us to sublicense these rights to affiliates or business partners.
We reserve the right to remove Your Content at our sole discretion if it violates the rights of any third party. Repeated or serious violations may result in suspension or termination of your access. You are solely responsible for any third-party claims arising from your Content and agree to indemnify us for all resulting losses.
8.3 Your Representations
You represent and warrant that: (i) Your Content does not infringe any third party's intellectual property rights, right of privacy, right of publicity, or other legal rights; and (ii) you own or hold all necessary licenses, consents, and permissions required for your use of Your Content and for granting the license in Section 8.2.
9. Account Registration and Security
You authorize us to take reasonable steps to verify your identity at registration or during your use of the Service. You agree to provide accurate, complete, and current information at registration and to keep it updated. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account. If you believe your account has been compromised, notify us immediately. We are not liable for losses caused by unauthorized account access resulting from your failure to safeguard your credentials.
10. Electronic Communications
By registering for the Service, you consent to receive communications from us electronically — whether by email or in-app notification. You agree that electronically delivered communications satisfy any applicable legal requirement for written notice.
11. Feedback
Any ideas, suggestions, or feedback you voluntarily provide to us regarding the Service ("Feedback") is not confidential. We may use Feedback for any purpose without compensation or obligation to you.
12. Third-Party Links and Services
The Service may contain links to third-party websites or services for your convenience. These links do not constitute our endorsement of those sites, and we make no representations regarding their content, accuracy, or services. Your use of linked sites is entirely at your own risk. Any business dealings you conduct with third parties found through the Service are solely between you and them; we are not responsible for any loss or damage arising from such interactions.
13. Content Disclaimer
Content available through the Service — including identification results and user-generated submissions — is provided "as is." We do not verify, guarantee, or take responsibility for the accuracy of any user-generated content. You may encounter content you find objectionable, and we disclaim all liability in connection with such content.
14. Termination
We reserve the right, in our sole discretion, to suspend or terminate your account or access to any part of the Service at any time, with or without cause, and without prior notice. We accept no liability for the deletion of or failure to store your content following termination. Any suspected unlawful, abusive, or fraudulent activity may be referred to appropriate authorities.
15. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.
16. Indemnification
You agree to defend, indemnify, and hold harmless Insect ID Lens, its affiliates, officers, employees, agents, partners, and suppliers from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: your use or misuse of the Service; your violation of these Terms; your violation of any third party's rights; or any breach of your representations or warranties under these Terms. We reserve the right to assume exclusive control of the defense of any claim subject to indemnification, at our own expense, and you agree to cooperate with that defense.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL INSECT ID LENS, ITS AFFILIATES, CONTRACTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN ALL CASES, OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100).
18. Dispute Resolution and Arbitration
18.1 Good Faith Resolution Before initiating any formal proceeding, you agree to send us a written description of your dispute to give us the opportunity to resolve it informally. Both parties agree to negotiate in good faith. If the dispute remains unresolved after 60 days, either party may proceed to arbitration.
18.2 Binding Arbitration Any dispute, claim, or controversy arising out of or relating to the Service or these Terms shall be resolved exclusively through binding arbitration administered by the International Centre for Dispute Resolution (ICDR) under its International Arbitration Rules. The arbitration tribunal shall consist of three arbitrators — one appointed by each party and a third agreed upon by the two appointed arbitrators (or by ICDR if no agreement is reached within 14 days). The seat of arbitration shall be New York, New York, USA. Proceedings shall be conducted in English. The arbitrators' award shall be final and binding.
18.3 Governing Law These Terms and all matters related to your use of the Service shall be governed by the laws of the United States and the State of New York, without regard to conflict-of-law principles. Where arbitration is not applicable, disputes shall be subject to the exclusive jurisdiction of state or federal courts in New York, NY.
18.4 Limitation Period Any claim arising from your use of the Service must be brought within one (1) year of the date the cause of action accrues. Claims brought outside this period are permanently barred.
19. Miscellaneous
Waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in the future.
Severability: If any provision of these Terms is found to be unenforceable, that provision shall be severed and the remaining Terms shall remain in full effect.
Assignment: You may not assign your rights or obligations under these Terms. We may assign our rights freely without restriction.
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Insect ID Lens with respect to the Service and supersede all prior agreements on the same subject.
Survival: Sections 6, 8.2, 10, 14, 15, 16, 17, 18, and 19 survive any termination of these Terms.
20. Apple App Store Terms
If you downloaded the Application from the Apple App Store or are using it on an iOS device, the following applies: These Terms are between you and Insect ID Lens only — not Apple Inc. ("Apple"). Apple bears no responsibility for the Application or its content and has no obligation to provide maintenance or support. In the event of a warranty failure, your sole remedy against Apple is to request a refund of the purchase price, if any. Apple is not responsible for any product liability claims, regulatory compliance failures, or intellectual property claims relating to the Application. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you upon your acceptance.
